For the Eat Well Live Well website and NourisHer coaching services
1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern access to and use of the website eatwelllivewell.in ("Website") and the nutrition, wellness, lifestyle, fitness and behaviour-change coaching programmes and related services offered under the Eat Well Live Well and NourisHer brands ("Services"). Eat Well Live Well is a registered sole proprietorship owned and operated by Sushma Subramaniam, who uses the professional name Sushma Rams in her coaching practice and on social media, with its business address at Chennai, India ("Eat Well Live Well", "we", "us" or "our").
By accessing the Website, submitting an enquiry or application, booking a consultation, enrolling in a programme, attending a class, creating or using a client portal account, or making payment for any Service, you ("Client", "User" or "you") agree to these Terms, our Privacy Policy and any programme-specific terms communicated to you before or at enrolment. If you do not agree, please do not use the Website or enrol in a Service.
Programme-specific proposals, enrolment communications, payment plans, schedules or policies may supplement these Terms. If a programme-specific term expressly differs from these Terms, that programme-specific term will apply to that programme to the extent of the inconsistency.
Nothing in these Terms is intended to exclude or restrict any right or remedy that cannot lawfully be excluded under applicable Indian law.
2. Eligibility
The Services are intended for adults aged 18 years and above unless a specific Service expressly states otherwise. By enrolling, you confirm that you are legally capable of entering into a binding agreement.
Eat Well Live Well may decline, pause or discontinue a Service where it reasonably considers that the Service is not suitable for a prospective or current Client, including where needs appear to fall outside the scope of coaching or require assessment or care from an appropriately qualified healthcare professional.
3. Description of Services
Eat Well Live Well provides coaching and education intended to support sustainable nutrition, movement, strength, sleep, recovery, habits, mindset, accountability and lifestyle practices, with a particular focus on women navigating midlife, perimenopause and menopause.
Depending on the programme selected, Services may include one-to-one coaching, group coaching, live or recorded fitness sessions, lifestyle or habit assessments, educational resources, goal setting, action plans, check-ins, progress tracking, client-portal access, WhatsApp or email communication, community support and other coaching tools.
The scope, duration, frequency of calls or classes, access period, coach availability and specific inclusions are those stated on the Website or otherwise communicated to you at enrolment. We may make reasonable changes to content, tools, schedules, coaches, technology or delivery methods while preserving the overall nature and value of the Service.
4. Health, Medical and Fitness Disclaimer
Eat Well Live Well provides wellness, health and lifestyle coaching and education. Unless expressly stated otherwise for a particular professional or service, the Services are not medical care and do not constitute diagnosis, treatment, prescription, psychotherapy, physiotherapy, emergency care, or a substitute for advice from a physician, registered dietitian, physiotherapist, mental-health professional or other appropriately qualified healthcare provider.
- You remain responsible for obtaining medical advice where appropriate, including before making significant changes to diet, exercise, supplements or lifestyle if you have a medical condition, are pregnant or postpartum, take medication, have a history of eating disorders or disordered eating, are recovering from injury or surgery, or have any other health concern.
- Do not disregard, delay or replace professional medical advice because of information provided through the Website, coaching programme, client portal, calls, classes, educational materials or messages.
- If you experience symptoms that may require urgent or emergency medical attention, contact an appropriate healthcare or emergency service rather than relying on Eat Well Live Well.
- Any discussion of supplements is educational and general in nature unless provided within the lawful scope of an appropriately qualified professional. You are responsible for checking suitability, interactions and medical contraindications with your healthcare provider.
- Physical activity and exercise involve inherent risks. You agree to exercise within your abilities, use appropriate equipment and surroundings, and stop or modify an activity if you experience pain, dizziness, faintness, unusual shortness of breath, chest discomfort or other concerning symptoms.
You agree to disclose information that is reasonably relevant to safe participation and to tell Eat Well Live Well about material changes in your health, medication, pregnancy status, injury or other circumstances that may affect your ability to participate safely.
5. Client Responsibilities and Outcomes
Coaching is collaborative. You agree to provide information that is accurate to the best of your knowledge, participate in good faith, communicate relevant changes, make your own informed decisions and use reasonable judgement when implementing recommendations.
Individual outcomes vary substantially. Eat Well Live Well does not guarantee weight loss, fat loss, changes in body measurements, laboratory values, symptoms, fitness, energy, sleep, adherence, appearance, health status or any other specific result. Progress depends on many factors, including individual health, circumstances, consistency, participation, medical care and factors outside our control.
You remain responsible for your own choices, actions and use of information provided through the Services.
6. Fees, Payment and Enrolment
Fees, applicable taxes, instalment arrangements and payment schedules are those displayed on the Website or communicated to you before enrolment. Unless expressly agreed otherwise in writing, payment is due in accordance with the stated schedule.
Payments may be processed by third-party payment providers. Eat Well Live Well does not need to store full card or banking credentials where those details are handled directly by the payment provider.
Enrolment is confirmed when the required payment or agreed first instalment has been received and Eat Well Live Well has confirmed your place or access.
Where an instalment plan is agreed, the Client remains responsible for the full payment obligations stated at enrolment unless an applicable cancellation/refund policy expressly provides otherwise. Access may be suspended for overdue payments, subject to applicable law and any written arrangement made with you.
Eat Well Live Well may revise fees for future enrolments. A revised fee will not retrospectively change the agreed price for a Service already purchased.
7. Cancellations, Refunds, Rescheduling and Pauses
Unless required otherwise by applicable law, fees paid for NourisHer coaching programmes are non-refundable and there is no cancellation or refund policy once a Client has enrolled and payment has been made. Clients are encouraged to review the programme scope, duration, inclusions and commitments before enrolling.
Unless a programme-specific policy states otherwise, requests relating to cancellation, refund, programme pause, transfer or rescheduling must be made in writing to hello@eatwelllivewell.in.
Clients must provide at least 24 hours' advance notice to reschedule a scheduled coaching meeting. A meeting missed, cancelled or sought to be rescheduled with less than 24 hours' notice may be treated as used, except where Sushma agrees otherwise because of exceptional circumstances.
Any approved refund will normally be returned to the original payment method where reasonably practicable. Processing time may depend on the relevant bank, payment gateway or service provider.
Nothing in this Clause limits any refund, cancellation or other consumer right that must be provided under applicable law.
8. Client Portal, Tracking and Electronic Communications
Where portal or app access is provided, you are responsible for keeping your login credentials confidential and for activity carried out through your account. Please notify us promptly if you believe your account has been accessed without authorisation.
The client portal and related tools may allow you to record information such as check-ins, habits, steps, weight, measurements, workouts, food or macronutrient information, sleep, symptoms, reflections, goals and coaching notes. These tools support coaching and are not medical monitoring or emergency-response systems.
Email, WhatsApp, video conferencing, scheduling platforms and other electronic channels may be used for coaching and administration. No internet-based communication system can be guaranteed to be completely secure, uninterrupted or error-free. Please avoid sending information through a channel if you are not comfortable with the privacy or security characteristics of that channel.
Response times and messaging access are subject to the boundaries and availability communicated for your specific programme. Messaging support is not an emergency service.
9. Group Programmes, Community Conduct and Confidentiality
If you participate in group coaching, classes, workshops or community sessions, you agree to respect the privacy and dignity of other participants and not to record, screenshot, publish, forward or share another participant's personal information, image, story, health information or contribution without that person's permission.
Eat Well Live Well will take reasonable steps to support a respectful coaching environment, but it cannot guarantee that other participants will comply with their confidentiality obligations.
Harassment, discrimination, abusive behaviour, deliberate disruption, unauthorised solicitation or conduct that materially undermines the safety or experience of others may result in removal from the group or programme.
10. Intellectual Property and Programme Materials
The Website and programme materials, including frameworks, worksheets, guides, videos, recordings, plans, templates, graphics, presentations, recipes, educational resources, branding and other content supplied by Eat Well Live Well, are owned by or licensed to Eat Well Live Well and are protected by applicable intellectual-property laws.
You receive a limited, personal, non-exclusive, non-transferable right to use programme materials for your own participation and personal learning. Unless we give prior written permission, you may not reproduce, record, distribute, publish, sell, license, upload, share, teach from, adapt for commercial use or otherwise exploit the materials.
You may not record coaching calls, group sessions, workshops or classes unless Eat Well Live Well and all persons whose participation may be captured have expressly agreed.
11. Testimonials, Images, Recordings and Success Stories
Your enrolment does not by itself authorise Eat Well Live Well to use your identifiable testimonial, photograph, video, voice recording, before-and-after material, health information or personal success story for public marketing.
Where marketing material identifies you or could reasonably identify you, Eat Well Live Well will seek appropriate permission or consent before publication. Where practicable, consent for marketing use will be separate from consent needed to deliver the Service.
You may contact us regarding future use or withdrawal of marketing consent. Withdrawal will apply prospectively and may not require removal of material that has already been lawfully published in a form that cannot reasonably be recalled, subject to applicable law.
12. Acceptable Use and Termination
You agree not to misuse the Website, client portal, coaching materials or communications; attempt to gain unauthorised access to systems; interfere with security; harass coaches, staff or other Clients; submit unlawful or infringing content; impersonate another person; or use the Services for an unlawful purpose.
Eat Well Live Well may suspend or terminate access where there is serious misconduct, non-payment, misuse of materials, a material breach of these Terms, or where continuation would be unsafe, unlawful or materially disruptive. Any refund entitlement in those circumstances will be determined by the applicable programme policy and law.
13. Third-Party Services and Links
The Services may rely on third-party providers for payment processing, scheduling, video calls, messaging, email, hosting, forms, analytics, client management, file storage or other operational functions. Those providers operate under their own terms and privacy practices.
The Website or coaching materials may contain links to third-party websites or resources. A link does not necessarily imply endorsement. Eat Well Live Well is not responsible for the independent content, acts, security or availability of third-party services except to the extent required by law.
14. Disclaimer and Limitation of Liability
Eat Well Live Well will provide the Services in good faith and with reasonable professional care. To the maximum extent permitted by applicable law, we do not warrant uninterrupted Website, portal or third-party service availability and do not guarantee a particular coaching or health outcome.
To the maximum extent permitted by applicable law, Eat Well Live Well will not be liable for indirect, incidental, special or consequential loss arising from use of the Website or Services.
Subject to liabilities that cannot lawfully be excluded or limited, Eat Well Live Well's total aggregate liability arising from a specific paid Service will not exceed the fees actually paid by you for that Service.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or any non-excludable consumer right.
15. Privacy and Personal Data
Personal data is handled in accordance with our Privacy Policy, which forms part of these Terms by reference. Because coaching may involve information about health, lifestyle, nutrition, fitness, sleep, symptoms, measurements, goals and personal circumstances, please review the Privacy Policy carefully before providing information.
Where consent is used as the basis for processing, you may withdraw that consent in accordance with the Privacy Policy and applicable law. Withdrawal may affect our ability to provide a Service where the information is necessary for safe or effective delivery.
16. Changes to Services and Terms
We may update these Terms from time to time. The current version will be made available on the Website. Where reasonably appropriate, material changes affecting an ongoing paid programme will be communicated directly and will apply prospectively, except where a change is required by law.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
The parties will first attempt in good faith to resolve any dispute through direct discussion.
Any dispute that cannot be resolved through good-faith discussion shall be subject to the exclusive jurisdiction of the competent courts in Chennai, Tamil Nadu, India, subject to applicable law.
